1. About these terms
These Terms & Conditions (“Terms”) govern your access to and use of the Mauli G-Mart platform, comprising the Mauli Mart customer app, the Mauli Mart vendor app, the Mauli Mart transporter app, this website and the associated management platform (together, the “Platform”), operated by Mauli G-Mart Private Limited, CIN U52200MH2022PTC396158, GSTIN 27AAQCM4963P1ZF, with its registered office at 506, Akruti Arcade, Shri Ramwadi, J.P. Road, Nr Dhake Colony, Andheri (West), Mumbai – 400053, Maharashtra, India.
By registering for, accessing or using the Platform you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform. These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require a physical signature.
2. Our role as intermediary
Mauli G-Mart operates a business-to-business marketplace connecting wholesale vegetable suppliers (“Vendors”) with retail buyers (“Customers”), supported by delivery partners (“Transporters”). The sale contract for produce is between the Vendor and the Customer. Mauli G-Mart facilitates that contract by verifying participants, hosting the catalogue and pricing, routing and tracking orders, arranging logistics, invoicing, extending credit where approved, and settling Vendors.
Mauli G-Mart is not the grower or manufacturer of the produce. We do not warrant the quality, grade, weight or fitness of goods supplied by a Vendor, beyond the complaint and resolution process described in section 10.
3. Eligibility and registration
- You must be at least 18 years old, of sound mind, and legally competent to contract under the Indian Contract Act, 1872.
- You must be registering on behalf of a lawfully operating business, and warrant that you are authorised to bind that business.
- Registration requires submission of identity, business, bank and (for Transporters) vehicle and licence documents. All information must be true, current and complete.
- Registrations are deliberately vetted. Submitting an application does not create an account. Mauli G-Mart reviews each application and may approve or reject it at its sole discretion, without being obliged to give reasons.
- You must verify your mobile number by one-time password. That number becomes your primary identifier for order updates, delivery confirmation and payment notices.
- You must inform us promptly of any change to your business details, GSTIN, bank account, address or authorised representatives.
Providing false, forged or misleading documents is grounds for immediate termination and may be reported to the relevant authorities.
4. Account security
You are responsible for all activity under your account. Do not share your credentials or any one-time password with anyone, including any person claiming to represent Mauli G-Mart — our staff will never ask for an OTP. Notify us immediately at contact@mauligmail.com of any suspected unauthorised use. Accounts are non-transferable.
5. Orders and acceptance
- Catalogue listings and rates are an invitation to offer, not a binding offer. Placing an order constitutes your offer to purchase.
- A contract is formed only when the order is confirmed on the Platform and accepted by the assigned Vendor. Until then, an order may be declined — for example where stock is exhausted, the delivery pin code is not serviceable, or the Customer's credit limit is insufficient.
- Orders may be placed as Regular against a chosen delivery slot, or as Emergency where available for urgent same-day requirements. Emergency orders may carry different pricing and fulfilment terms, which are shown before confirmation.
- Fresh produce is a natural product. Delivered weight and count may vary within customary trade tolerances, and invoicing may be adjusted to actual quantities delivered where applicable.
- Minimum order values, per-item minimum quantities and slot cut-off times may apply and are displayed in the app.
6. Pricing, taxes and invoicing
- Vendor rates change daily with market conditions. The price applicable to your order is the price displayed at the moment you confirm it.
- The order summary itemises the items subtotal, applicable taxes and fees, and any logistics charge, before you confirm. No additional charges are added after confirmation for that order.
- All prices are in Indian Rupees (INR). GST and other statutory levies apply as notified from time to time.
- A tax-compliant invoice is generated for each order and is available in the app. Please verify your GSTIN in your profile, as input credit depends on it.
- Vendor commission is agreed at approval, is recorded against the Vendor account, and may be revised on prior written notice.
7. Credit facility
Mauli G-Mart may, at its sole discretion, extend a credit (overdraft) facility to approved Customers to enable purchases without upfront payment.
- Limit. A credit limit is assigned per Customer based on business profile, order history and repayment behaviour, and is displayed in the app together with the amount currently available.
- Use. Orders may be placed against available credit. Orders exceeding the available limit will not be accepted until dues are cleared or the limit is revised.
- Due dates. Each invoice carries a due date shown in the app. Payment must be received on or before that date.
- Overdue amounts. Where an invoice is not paid by its due date, Mauli G-Mart may suspend further ordering, reduce or withdraw the credit limit, and levy a late payment charge notified in the app or in your commercial agreement. Persistent default may result in termination and recovery action.
- Discretionary and revocable. The facility is not a committed line of credit. It may be increased, reduced, suspended or withdrawn at any time at Mauli G-Mart's discretion, with notice in the app. Amounts already drawn remain payable.
- Appropriation. Payments received are applied first to the oldest outstanding invoice unless you specify otherwise at the time of payment.
The credit facility is a commercial trade credit arrangement between you and Mauli G-Mart in connection with goods supplied through the Platform. Where a regulated lending partner is involved, separate terms will be presented to you and your specific consent obtained.
8. Payments and vendor settlement
- Customers may pay through the payment methods offered in the app, or settle outstanding invoices individually or as a consolidated outstanding amount.
- Payment gateway transactions are subject to the terms of the relevant gateway. We do not store complete card details.
- Vendor earnings are credited to the Vendor's in-app wallet against completed orders, net of agreed commission and any adjustments for upheld quality complaints, shortages or returns.
- Payouts from the wallet are made to the Vendor's verified bank account per the agreed settlement cycle. Mauli G-Mart may withhold payout where an order is disputed, under investigation, or where the Vendor owes amounts to us.
- Tax deducted at source and other statutory deductions are applied where required by law.
9. Delivery and OTP handover
- Delivery slots shown in the app are the intended window. They are estimates and are not guaranteed against traffic, weather, market disruption or other conditions outside our reasonable control.
- The Customer must ensure that someone is available to receive the order at the delivery address during the chosen slot.
- Handover is confirmed by one-time password. The Transporter records whether the receiver is the account Owner or a nominated Representative, captures the receiver's name and mobile number, and an OTP is sent to that number. The order is marked Delivered only after the OTP is validated.
- By nominating a Representative, or by allowing your staff to share the OTP, you authorise that person to take delivery on your behalf and accept that such delivery discharges the Vendor's and Mauli G-Mart's delivery obligation in full.
- Where delivery cannot be completed because no authorised receiver is available or the OTP is not provided, the order may be returned. As fresh produce is perishable, charges may still apply for such failed deliveries.
- Risk in and title to the goods pass to the Customer on completion of the validated handover.
10. Quality, shortages and complaints
- Inspect the goods at the time of delivery. Quality and shortage complaints must be raised through the app on the day of delivery, with photographs where relevant. Perishability makes later claims impossible to verify.
- Complaints are logged against the specific order, Vendor and Transporter and are investigated by our operations team.
- Where a claim is upheld, the remedy is, at our reasonable discretion, a credit note, an adjustment to the invoice, or replacement on the next delivery cycle. The corresponding amount may be recovered from the Vendor's settlement where the Vendor is at fault.
- Variations in size, colour, appearance and seasonal availability are inherent to fresh produce and are not by themselves defects.
11. Cancellation and returns
- Customers may cancel an order free of charge before the Vendor begins picking, as indicated by the order status in the app.
- Once an order is In Transit it cannot generally be cancelled, since the produce has been picked and dispatched for that specific order.
- Mauli G-Mart or the Vendor may cancel an order where stock is unavailable, the delivery location is unserviceable, credit limits are exceeded, or fraud or misuse is suspected. Any amount already paid for a cancelled order is refunded or credited to the Customer's ledger within 7 working days.
- Being perishable goods, produce is not returnable other than through the complaint process in section 10.
12. Vendor obligations
- Maintain accurate inventory and publish rates you are able and willing to honour; do not list stock you cannot supply.
- Supply produce that is fit for human consumption, correctly graded and weighed, and compliant with the Food Safety and Standards Act, 2006 and the rules and regulations made under it, including holding a valid FSSAI registration or licence where required.
- Pack goods appropriately for bulk transport and hand over against the order manifest.
- Fulfil accepted orders within the agreed slot. Repeated failure to fulfil may lead to delisting.
- Issue and maintain tax-compliant records, and keep GSTIN, PAN and bank details current.
- Not solicit Customers introduced through the Platform to transact outside it in order to avoid commission.
13. Transporter obligations
- Hold and maintain a valid driving licence, vehicle registration, fitness certificate, permit and insurance, and keep these current on the Platform.
- Transport produce hygienically and without unreasonable delay, and not tamper with, substitute or divert consignments.
- Complete handover only through the in-app OTP process, and never mark an order delivered without validating the receiver.
- Not demand any payment from a Customer beyond what the Platform instructs.
- Comply with all applicable motor vehicle, road safety and transport regulations. Transporters engage with Mauli G-Mart as independent contractors; nothing in these Terms creates an employment relationship.
14. Customer obligations
- Purchase only for bona fide business purposes, and comply with food safety and licensing requirements applicable to your own operations.
- Provide an accurate delivery address, contact number and receiver details, and be available in the chosen slot.
- Pay invoices by their due date, including amounts drawn under the credit facility.
- Raise quality or shortage complaints honestly and on the day of delivery.
15. Prohibited conduct
You must not:
- use the Platform for any unlawful purpose, or to trade goods you are not entitled to trade;
- submit false documents, impersonate another person or business, or operate multiple accounts to circumvent limits or suspensions;
- manipulate pricing, place fictitious orders, or collude to distort the marketplace;
- scrape, reverse engineer, decompile, probe or attempt to gain unauthorised access to the Platform or its data;
- upload malicious code, or interfere with the operation or security of the Platform;
- harass, threaten or abuse other users, transporters or our staff; or
- use the Platform's data or user contacts for any purpose other than completing your transactions on it.
16. Suspension and termination
Mauli G-Mart may suspend or terminate any account, immediately and without prior notice, where it reasonably believes there has been a breach of these Terms, fraud, misuse of the credit facility, persistent quality failure, persistent non-payment, or a legal or regulatory requirement to do so.
You may close your account at any time by writing to us, subject to settling all outstanding amounts and completing or cancelling orders in progress. Provisions that by their nature survive termination — including payment obligations, liability, indemnity and governing law — continue to apply.
17. Intellectual property
The Platform, its software, design, text, graphics, the Mauli and Mauli G-Mart names and logos, and all related intellectual property are owned by or licensed to Mauli G-Mart Private Limited. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended business purpose. You may not copy, modify, distribute, sell or create derivative works from it.
Content you upload — including product images, business details and documents — remains yours. You grant us a non-exclusive, royalty-free licence to host, display and process it for the purpose of operating the Platform.
18. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties. We do not warrant that the Platform will be uninterrupted or error-free, that data displayed will always be accurate, or that defects will be corrected immediately.
We are not a party to the sale contract for produce and give no warranty as to the quality, grade, weight, origin or fitness of goods supplied by any Vendor, nor as to the creditworthiness or conduct of any Customer.
19. Limitation of liability
To the maximum extent permitted by law, Mauli G-Mart, its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, goodwill, business opportunity or anticipated savings, arising out of or in connection with the Platform.
Our aggregate liability in respect of any claim shall not exceed the value of the specific order giving rise to the claim, or ₹10,000, whichever is lower.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
20. Indemnity
You agree to indemnify and hold harmless Mauli G-Mart Private Limited, its directors, officers, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, your infringement of any third party's rights, or — for Vendors — any claim relating to the quality, safety or legality of goods you supply.
21. Force majeure
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including acts of God, flood, extreme weather, epidemic, fire, riot, strike, mandi closure, transport disruption, failure of utilities or telecommunications, cyber-attack, or governmental action.
22. Governing law and disputes
These Terms are governed by the laws of India. Subject to the process below, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.
The parties shall first attempt to resolve any dispute amicably within 30 days of written notice. Failing that, the dispute shall be referred to arbitration by a sole arbitrator appointed by Mauli G-Mart in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai and the language shall be English. The award shall be final and binding.
23. General
- Amendments. We may amend these Terms. The updated version takes effect when published, with notice in the app for material changes. Continued use constitutes acceptance.
- Severability. If any provision is held unenforceable, the remainder continues in full force.
- Waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign your rights without our written consent. We may assign ours to an affiliate or successor.
- Relationship. Nothing here creates a partnership, joint venture, agency or employment relationship between the parties.
- Entire agreement. These Terms, the Privacy Policy and any signed commercial agreement constitute the entire agreement between us. Where a signed commercial agreement conflicts with these Terms, that agreement prevails to the extent of the conflict.
- Notices. We may give notice through the app, by SMS, or by email to your registered address. You should give notice in writing to the address below.
